Universal Pictures Subscription Television Limited trading as NBCUniversal International Networks (“Company”) invites you to submit a photo of your child (each photo, the “Photo”) and your child’s first name, age and date of birth (“Birthday Details”) (the Photo and Birthday Details together are the “Submission”). A maximum of one (1) Submission per child per Applicable Month is permitted. Submissions must be submitted between the 1st to 21^st of each Applicable Month to be considered for entry in the following months’ campaign. The Company shall be entitled, but not obliged to, broadcast your Submission on-air and/or on the Company’s social media accounts including, but not limited to, Facebook and Instagram (together, the “Platforms”). The Company may, on a monthly basis, select Submissions in its sole discretion to display as part of its monthly Birthday Shout Out campaign on the Platforms.  The Company reserves the right, in its sole discretion, not to broadcast/post any Submission for any reason. Your Submission should be original. You must have the permission of any person who appears in your Submission. To participate, the person making the Submission must be at least eighteen (18) years old. If you are submitting a Photo of a minor, you represent and warrant that you are the parent or legal guardian having sole and complete legal custody, care and control of any minor who appears in your Submission.

By submitting your Submission, you hereby agree to the following terms and conditions

(“Submission Guidelines”):

• The Photo should be high resolution at 1000x1000pixels in .jpeg or .png format at a maximum size of 10MB. Please take the Photo in a well-lit area, in portrait style with the face clearly visible and centred within the frame.
• The Photo should not include any other people in the background other than your own child (only one (1) child appearing in the image). Participants in the Photo should not wear clothing that contains any other brands or logos (i.e. Nike, Coca-Cola, etc.) and must not have artwork/posters in the background.
• The Photo must not contain or reference any brand names, products or services of any company or any third-party trademarks, copyrights, logos, trade dress or promotion of any brand, product or service.
• The Photo must not contain personal information (e.g. your name, e-mail address or phone number). It is your sole responsibility to remove all such personal information before submitting it.
• Your Submission must not contain (i) content that is misleading, indecent, offensive, sexually explicit, tortious, disparaging, defamatory, slanderous, or libelous, or depicts an unsafe practice; (ii) content that reflects, advocates, or promotes bigotry, racism, hatred, harm, or exploitation of or against any class, group or individual, discrimination based on race, gender, religion, nationality, disability, sexual orientation or age; and (iii) content that is in violation of any applicable laws or regulations.

You hereby grant Company, its affiliates, licensees, successors and assigns the non-exclusive, royalty-free, and irrevocable rights to use, reproduce, copy, publish, display, distribute, perform, translate, adapt, modify, and otherwise exploit your Submission and to incorporate your Submission in the Company’s materials and any other works in any and all markets and media now known or hereafter devised, throughout the world in perpetuity, without additional notification, permission, approval, or compensation.

You warrant that you have the sole and exclusive right to grant such rights to Company, its affiliates, licensees, successors and assigns and that the reproduction, publishing, display, and/or other use of your Submission by Company, its affiliates, licensees, successors and assigns will not infringe on any rights of third parties, including, without limitation, copyright, trademark, patent, privacy, or publicity, or create claims for defamation, false light, idea misappropriation, intentional or negligent infliction of emotional distress, or breach of contract.

By submitting your Submission, you consent to the recording, airing, use and reuse by Company, its affiliates, licensees, successors and assigns, of your Submission, and any other information contained in your Submission, including but not limited to your child’s name, likeness, appearance, profile photograph(s), age and biographical material, as used, edited, altered, fictionalized or modified by Company, its affiliates, licensees, successors and assigns, in its/their sole discretion, in any and all media now known or hereafter devised, throughout the world, in perpetuity, including, without limitation, in and in connection with Company, or related sites or services, in and in connection with any television programs and other productions, and in and in connection with advertising, promotion and publicity for Company.

You acknowledge and agree that Company, its affiliates, licensees, successors and assigns, will be entitled to retain any and all revenue generated from any sales, licenses, assignments and other transfers of the rights granted by you hereunder, as well as any and all revenue generated by the display of any advertising, publicity, promotional materials or distribution rights in connection with your Submission. Nothing in these Terms and Conditions obligates or may be deemed to obligate Company or any other person or entity to exercise any of the rights granted by you under these Terms and Conditions. Company, its successors, affiliates, licensees and assigns, will have the unlimited right to assign these Terms and Conditions and the rights granted by you under these Terms and Conditions at any time, in whole or in part, to any party.

You agree that Company, its licensees, affiliates, successors and/or assigns, shall have no obligation to give you credit for your Submission, but may in their sole discretion elect to do so.

You acknowledge and agree that you are submitting your Submission voluntarily, and not in confidence, and that no confidential relationship is intended or created between Company and/or any other person or entity, on the one hand, and you, on the other hand, pursuant to your Submission. Your Submission will not be acknowledged or returned. Company has no obligation to exhibit your or any other Submission and all decisions by Company concerning selection of Submissions for exhibition are final and not subject to challenge or appeal.

You understand that there will be no payment for your Submission or the use of your Submission. You understand that no industry custom or practice applies to your agreement and that you will not be paid for your Submission. If you do not want your Submission to be used and broadcast by Company, its licensees, affiliates, successors and assigns, then please do not participate.

These Submission Terms shall be subject to and governed by the laws of England. WHERE ANY DISPUTE ARISES OUT OF OR IN CONNECTION WITH THIS AGREEMENT, THE PARTIES AGREE TO FIRST TRY TO RESOLVE SUCH DISPUTE THROUGH CONFIDENTIAL MEDIATION. IF MEDIATION IS UNSUCCESSFUL, THEN DISPUTES SHALL BE RESOLVED BY FINAL AND BINDING ARBITRATION UNDER THE LCIA RULES, WHICH RULES ARE DEEMED TO BE INCORPORATED BY REFERENCE TO THIS CLAUSE. THE NUMBER OF ARBITRATORS SHALL BE THREE(3). THE SEAT OR LEGAL PLACE OF ARBITRATION SHALL BE LONDON, ENGLAND. YOU AGREE THAT GIVEN THE UNIQUE NATURE OF THE ENTERTAINMENT INDUSTRY, AND THE IRREPARABLE DAMAGE TO COMPANY THAT WOULD RESULT FROM DELAYING OR PREVENTING THE EXHIBITION OF ANY CAMPAIGN PRODUCED HEREUNDER, YOU MAY NOT SEEK OR OBTAIN INJUNCTIVE RELIEF IN CONNECTION WITH THIS AGREEMENT. ALL PROCEEDINGS BROUGHT PURSUANT TO THIS PARAGRAPH WILL BE CONDUCTED IN LONDON ENGLAND.
